Negotiating a Contract for a Successful Provider Relationship a Texas Instruments Case Study

Switching benefits administration providers is not an easy task - from determining if you should move to a new provider(s) to defining and negotiating the contract terms. Texas Instruments, winner of NBGH’s Best Healthy Places to Work in 2007, knew that they needed to execute a best practice process to evaluate and select the benefits administrator outsourcing provider and negotiate the contract terms. Implementing New Benefits Management

Like most Fortune 500 companies, IBM had to do more with less. By creating a system of record with automated data feeds to their suppliers, IBM was able to reduce the following: consulting spend, dependency on their HR consultant and data errors. Lita Alessandra, VP and manager of Compensation, Benefits and HR M&A for Texas Instruments

Lita Alessandra is VP and manager of Compensation, Benefits and HR M&A for Texas Instruments (“TI”), world leader in providing innovative DSP and analog technologies to help its customers create the world’s most advanced electronics. TI is headquartered in Dallas, Texas, has 15,000 employees in the Americas and more than 30,000 employees worldwide in over 25 countries including Asia and Europe.

Previously, Lita held the positions of HR Director TI’s Application Specific Products, Director of Compensation, HR manager for mergers and acquisitions and manager of TI’s financial benefits.

Joanne Armenio, Kraft

Joanne has been with Kraft Foods for over 10 years and during her tenure has been responsible for a wide variety of US benefits including strategy and vendor management of the 401(k) plans, employee communication (print and web design), Canadian benefits, mergers, acquisitions, sales and closings. Currently Joanne is responsible for the development of Kraft’s international benefits strategy in approximately 70 different countries and works closely with Kraft’s regional Compensation & Benefits teams. In addition, Joanne is responsible for strategic benefits support for US collectively bargained facilities, mergers, acquisitions, sales and closings, all aspects of benefits in Canada and expatriate employee benefits.

Prior to joining Kraft, Joanne was the Director of Benefits for Hyatt Hotels Corporation focusing on US employee benefits.

Richard (Dick) Beatty, PhD, Rutgers University

Dick is professor of Human Resource Management at Rutgers University and a member of the Core Faculty of the University of Michigan’s Executive Education Center. Professor Beatty was president of the Society for Human Resource Management Foundation, a recipient of the society’s Book Award, and twice received the Research Award from the Human Resource Planning Society. He is the author of Performance Appraisal: Managing Human Behavior at Work and Human Resource Management: An Experiential Skill-Building Approach, and is co-author of The Workforce Scorecard with Mark Huselid and Brian Becker. His research interests are in strategic human resource strategy and measuring all aspects of workforce performance.

Kristina Brand, HighRoads

Kristina Brand is the Director of Product Marketing & Management at HighRoads and brings with her over 16 years of marketing experience in high tech. Prior to joining HighRoads she has held various product marketing positions at a number of enterprise software companies including Progress Software and Performix Solutions from NICE Systems. Kristina holds a B.S. in marketing and an MBA in Management from Simmons College in Boston and she is responsible for the HighRoads product solutions.

Michael Byers, HighRoads

Mike is President & COO of HighRoads. Mike oversees sales, services, marketing, product development and finance. Mike has led HighRoads transformation from an enterprise software company to a software as a service organization.

Mike was previously CEO of Centive, a founding company in the Enterprise Incentive Management (EIM) market. Mike raised in excess of $70 million in venture capital, built the management team and grew revenue from zero to in-excess of $25 million. Prior to joining Centive, Mike served as CFO and VP Finance for NuMega Technologies, Inc where he negotiated the sale of the company to Compuware (NASDAQ; CPWR) for $150 million. Mike has also held senior finance positions.

Vikki has more than 25 years of experience in engineering, services and corporate operational management. As an executive and consultant, she has helped dozens of technology, life and health sciences companies adopt, implement and manage solutions that deliver predictable, measure-able improvements in productivity, efficiency and revenue.

Paul is Chairman of the Board and CEO of HighRoads. Paul has helped define HighRoads as a disruptive technology solution in the F500 marketplace to gain greater efficiency, productivity and cost savings for historically manual and time intensive processes. In this role, Paul is the Industry visionary helping to drive the strategic direction of HighRoads to serve its customers and partners.

Paul is a recognized leader in the HR consulting and insurance industries. He spent 30 years with Watson Wyatt Worldwide, one of the world's leading human resource consulting firms, in a variety of consulting and management roles including Chief Operating Officer. On Paul's watch, Watson Wyatt's worldwide consulting operations doubled revenues and tripled profits while cementing the worldwide alliance with the blue chip consultancy R Watson & Sons.

Thomas G. Emerick is the President of Emerick Consulting, LLC. Tom´s years with Wal-Mart Stores, Inc., Burger King Corporation, British Petroleum, and American Fidelity Assurance Company have provided an excellent blend of experience and contacts. His last position with Wal-Mart was Vice President, Global Benefit Design. Tom has served on a variety of employer coalitions and associations, including being on the board of the influential National Business Group on Health, the U. S. Chamber of Commerce Benefit Committee, and many others.

Nancy Lazgin, Staples, Inc.

Nancy Lazgin is Director, Global Benefits for Staples, Inc., the world’s largest office products company with over $18.2 billion in sales and 74,000 associates who make purchasing easy for their customers. As Director, she oversees benefits’ strategy and sourcing in 22 countries. In addition, she and her team are responsible for domestic benefit sourcing, vendor and performance management as well as benefit design, implementation and ongoing associate education and engagement.

David Lynch, IBM Health Benefits Delivery and Operations

David Lynch is a program manager with the Global Health Benefits Design & Strategy team within IBM, the world's largest technology company. David has been with IBM for five years and is currently responsible for leading vendor selection in the US, the US HMO renewal negotiations, global benefits database, the US benefits pricing and migration analyses, as well as overseeing the relationship with HighRoads. In addition to these benefits related responsibilities, David has also been involved in IBM's corporate pandemic planning, led the occupational health & safety benchmarking project, and served as controller for the Global Well-being Services organization.

Marianne Semenetz, IBM Health Benefits Delivery and Operations

Marianne Semenetz has been with IBM for 20 years and has worked in every aspect of health benefits including developing new benefits strategies and co-managing the implementation of HighRoads for IBM's annual HMO renewals. IBM offers approximately 60 HMOs in the US to its 125,000 employees and 126,000 retirees. As Program Manager, she oversees the annual renewal process including data feeds between HMOs, HighRoads and Fidelity, IBM's TPA. In addition, she is responsible for HMO, FSA, self insured medical and International Assignment vendor and performance management.
